Should I Form an LLC Before Launching My Etsy Shop?

It depends — and the wrong answer costs you $800/year. Here's the actual decision tree based on your revenue, goals, and risk tolerance.

"Should I form an LLC for my Etsy shop?" is the most-asked question on r/EtsySellers, and the answer is almost always "it depends." Here's the actual decision tree, with California-specific math.

Quick answer

Form an LLC if any of these are true:

  • You expect $30k+ in annual Etsy revenue within 12 months
  • You sell anything that could cause physical harm (food, beauty, kids' products)
  • You need a real business bank account (Etsy Capital, accounting software, business credit)
  • You want to apply for a trademark on your shop name
  • You're going to sell wholesale (Faire, Tundra, etc.)
  • Etsy has flagged your address verification (P.O. Box rejection)
If NONE of these apply, stay a sole proprietor + DBA. The $800/year California franchise tax doesn't make sense yet.

The math (California-specific)

Forming an LLC in California costs $890 in year 1 ($70 filing + $20 statement of info + $800 franchise tax) and $820/year after that.

Sole proprietor with a DBA in LA County costs about $26 one-time (filing + publication).

So the LLC has to give you at least $864 of value in year 1 to break even. That value is:

  • Liability shield — protects personal assets if a customer sues you (worth a lot if you sell ingestibles, cosmetics, or kids' products)
  • Tax flexibility — file as S-Corp once you cross ~$70k profit, save on self-employment tax
  • Banking + credit access — Chase Ink, Amex Business Gold, Brex want a real LLC + EIN
  • Trademark protection — a registered LLC owning the trademark is cleaner than a personal trademark
  • Wholesale buyer credibility — Faire, Mable, etc. verify your business registration

When NOT to form an LLC yet

You're a side-hustle making $5k–$15k/year on Etsy. Just file Schedule C, take the home-office deduction, and don't pay $800 you don't need to pay.

Caveat: if you sell any product that could land you in court (allergic reaction, choking hazard, electrical fire), the LLC is worth it even at low revenue.

When to form one mid-year

If you cross $30k revenue in Q1–Q2 and the trajectory is clearly up, form the LLC immediately. The $800 franchise tax is owed for the year regardless of when you formed during it (so forming in November is just as expensive as forming in January).

The exception: if you form on or after December 17 of any year, California considers you a "short-year" LLC and you may not owe franchise tax for that calendar year. But you owe it the next year. Talk to a CPA before you cut it that close.

Real address requirement

California requires a physical street address for your LLC's Articles of Organization and registered agent. P.O. Boxes are rejected. Your options:

  • Your home address (becomes public record on the state filing — privacy concern)
  • A commercial registered agent ($50–$300/year, just provides the address)
  • A USPS-certified CMRA private mailbox (real street address, $50–$95/3 months, accepts mail and packages)
